1. IMPORTANT INFORMATION

You should carefully read the following terms and conditions. Your purchase or use of our products implies that you have read and accepted these terms and conditions. Failure to comply with any of these terms may result in your account being suspended/cancelled.

2. LICENSE

Our website grants you a nonexclusive limited license to use the web templates, editing software, SEO toolbox (the "products") and other products sold through our web site by Matthew Goodrich(matthewgoodrich.com/easyCES.com (referred to as "us" or "our company")) in accordance with these Terms and Conditions (the "license") issued by our company.

a) LIMITED USAGE GRANTED

You may only use each individual product on a single website, belonging to either you or your client. You have to purchase same template once more in order to make another project with the same design. You may use our editing software as long as you're a customer of our company. If you plan to move your content to another host and continue to use the EasyEdit method, you may do so with the understanding that it will no longer be updated regularly. This software cannot be duplicated or reused for any purposes. Each purchase is attributed to one website/domain only (i.e. any subdomains require an additional purchase and setup fee.).

b) MODIFICATIONS

You are authorized to make any necessary modification(s) to our products to fit your purposes, but you may not resell our templates or editing software in their current state nor with any modifications (i.e. You can't change some colors and images so you can sell your clients our 'modified' templates/frameworks OR add, change, edit the text/image editing software and sell/resell the service to your clients.)

c) UNAUTHORIZED USE

You may not place any of our products, modified or unmodified, on a diskette, CD, website or any other medium and offer them for redistribution or resale of any kind without prior written consent and a Commercial License purchase from our company.

d) ASSIGNABILITY

You may not sub-license, assign, or transfer this license to anyone else without prior written consent from us.

e) OWNERSHIP

You may not claim intellectual or exclusive ownership to any of our products, modified or unmodified. All products are property of and developed by our company.

Our products are provided "as is" without warranty of any kind, either expressed or implied. In no event shall our juridical person be liable for any damages including, but not limited to, direct, indirect, special, incidental or consequential damages or other losses arising out of the use of or inability to use our products. Your web site content is your responsibility, ownership of your website requires you to take the necessary steps to secure your site's contents, compliance and validity. Ownership of the website theme and content remains our property until it is paid for. Once your payment has been received, you own your site, it's content and any other information therein. Failure to pay will result in suspension of your service.

f) SITE OWNERSHIP (DOMAINS & HOSTING)

When you purchase a domain name or we purchase it for you, it's yours. Once your site is set up and we 'point the domain' to our servers, we'll transfer the domain administration information to you so you can renew it when it comes due for renewal next year/in a couple of years(depending on what you purchased). Additionally, the hosting account will be set up in your name, giving you full access to a CPanel account to administer your site (add/edit/delete email accounts, file manager, stats, etc.)

3. OUR REFUND POLICY

Since our company is offering non-tangible, irrevocable goods we do not issue refunds after the product is setup, uploaded or delivered, which you are responsible for understanding upon purchasing any article or service at our site. We only make exceptions with this rule when the product appears to be not-as-described, on a case by case basis, and in agreement of the parties concerned. That said, if you have purchased our product, we assume you have viewed and tested the product's demo, read its specifications and should know first hand how it functions. The notification deadline for any refund claim is one day after the setup date, however, unless the site simply does not work (display, is editable, etc.), you will not receive a refund.

4. ANTIFRAUD CHECK FOR CREDIT CARDS

Customer purchase can be suspended for manual antifraud check for 10-20 minutes as well as it can be suspended for longer term (around 20 hours) for more serious investigation. Antifraud check occurs because of growing number of fraud transactions from persons who are not actual cardholders of the credit cards used during purchase. This will depend on the payment system used. If your payment is returned for any reason, your site will be suspended until proper payment is received.

5. WEB SITE CONTENT

A web server is a neighborhood and the neighborhood of other customers. Keep that in mind as to the type of content you keep. You are responsible for your site's content and backing up that data on your own pc, etcetera.

We do not employ spam tactics, black hat SEO techniques like keyword stuffing (placing an exorbitant amount of keywords in meta tags, image description or 'alt' tags and/or content), cloaking (listing keyword rich content in the same text color as the background color of the page or its background so as to hide or 'cloak' text) or mail fraud/scams from our neighborhood either and we expect the same from our customers.

We do our best to ensure that your site is setup so that you receive the least possible spam in your mailbox, but managing your mailboxes is also your responsibility.

6. PRIVACY/CUSTOMER INFORMATION

We do not purchase lists for mailing advertisements or newletters nor do we sell our customers' information to 3rd parties EVER. We expect the same from our customers.

7. SECURITY

If a customer's financial information is required, we provide a secure (https://) page that encrypts its data for sending personal information and/or financial information over the internet.

You are required to have an SSL Certificate or other data protection setup if you are processing payments on your website.

Our company reserves the right to change or modify these terms with no prior notice.
